These Terms and Conditions govern access to and use of the website operated by Salt Learning and Development, publicly referred to as Salt Learning & Development (“Salt”, “we”, “our” or “us”).

By accessing or using the website, submitting an enquiry or downloading material made available through the website, you agree to these Terms and Conditions. Do not use the website if you do not agree to these terms.
1. About the website
The website provides information about Salt’s services, including:

experiential team building and corporate offsites;

leadership and workplace programs;

team-effectiveness assessments;
-
structured team-development engagements;
-
facilitation and customised corporate learning; and

related business services.
Website content is provided for general information and business-enquiry purposes. It does not constitute a binding offer, professional advice or a guarantee that a particular service will be suitable or available.
2. Eligibility and authority
By using the website or submitting an enquiry, you confirm that:

the information you provide is accurate to the best of your knowledge;

you are legally capable of entering into an agreement;
-
where you act for an organisation, you are authorised to communicate on its behalf; and
-
you will not use the website for an unlawful, misleading or unauthorised purpose.
The website and Salt’s corporate services are not directed at children.
3. Enquiries do not create a contract
Submitting an enquiry, requesting a discovery call, receiving an introductory conversation or receiving general information from Salt does not create a binding service agreement.
A binding engagement begins only when the relevant parties accept a written proposal, statement of work, engagement letter, purchase order or other written agreement.
Salt may accept, decline or request further information regarding an enquiry at its discretion.
4. Proposals and service agreements
The scope, fees, taxes, payment schedule, delivery dates, participant numbers, location, travel, accommodation, production responsibilities, cancellation terms, rescheduling terms and other commercial conditions for an engagement will be stated in the relevant proposal or agreement.
Where there is any conflict between:

these website Terms and Conditions; and
-
an accepted proposal, engagement letter, statement of work or written contract,
the specific written engagement document will govern the relevant service.
Unless otherwise stated in writing, proposals are valid only for the period specified in the proposal and remain subject to facilitator availability, venue suitability, operational feasibility and final scope confirmation.
5. Program and engagement outcomes
Salt designs engagements around an agreed audience, context and intended outcome. However, participant response and organisational results may be influenced by factors outside Salt’s control, including:

attendance and participation;
-
sponsor involvement;
-
leadership behaviour;
-
workplace conditions;
-
follow-through after the engagement;
-
organisational change;
-
participant willingness; and
-
decisions made by the client after delivery.
Salt does not guarantee:
-
individual or team behaviour change;
-
financial return on investment;
-
improvement in business performance;
-
resolution of workplace conflict;
-
a particular assessment result; or
-
sustained organisational outcomes arising from a workshop, program, Diagnostic or Sprint.
Any measurement or assessment must be interpreted within the scope and limitations explained in the relevant proposal, report or participant notice.
6. Team assessments and confidential conversations
Where an engagement includes a team instrument, survey, interview or confidential conversation:
-
the purpose and process will be explained for that engagement;
-
responses may be analysed and reported in aggregate;
-
findings may reflect reported perceptions rather than independently verified facts;
-
Salt will ordinarily present interview findings as non-attributable themes;
-
the assessment will not constitute a clinical diagnosis, individual performance review or validated psychometric evaluation unless expressly stated otherwise; and
-
assessment findings will not establish causation or guarantee the success of a subsequent intervention.
Additional confidentiality and data-handling terms may be included in the relevant engagement agreement or participant notice.
7. Intellectual property
Unless otherwise stated, all website content and Salt-created material is owned by or licensed to Salt Learning and Development.
This may include:

the Salt name and branding;
-
website text and design;
-
program architecture;
-
activity designs;
-
facilitation methods;
-
frameworks and models created by Salt;
-
facilitator guides;
-
participant workbooks;
-
slides and visual material;
-
templates and tools;
-
reports and assessment formats;
-
photographs, videos and graphics;
-
case-study layouts; and
-
downloadable resources.
Website access does not transfer ownership of any intellectual property.
You may view and print website pages for internal, non-commercial reference. You may not reproduce, sell, license, publish, modify, distribute, teach, facilitate or commercially use Salt material without prior written permission.
8. Client use of program material
Where Salt provides worksheets, templates, participant handouts or other material during an engagement, the client and participants may use them internally for the purpose stated in the relevant engagement.
Unless expressly permitted in writing, these materials may not be:

resold;
-
published online;
-
uploaded to public repositories;
-
distributed outside the client organisation;
-
used to train external audiences;
-
converted into internal facilitator certification;
-
copied into another provider’s program; or
-
used to recreate or independently deliver Salt’s program.
Client-specific materials and ownership arrangements may be addressed separately in the relevant proposal or contract.
9. Third-party content and frameworks
Salt programs may refer to publicly available research, established management frameworks, third-party models or properly licensed material.
Rights in such material remain with their respective owners.
Reference to a third-party framework, organisation, product or publication does not imply ownership, endorsement or formal association unless expressly stated.
10. Information you submit
When submitting an enquiry or communicating with Salt, you agree not to provide content that:
-
is false, misleading or fraudulent;
-
infringes another person’s rights;
-
contains malicious software or harmful code;
-
is unlawful, threatening, discriminatory or abusive;
-
contains confidential information you are not authorised to share; or
-
unnecessarily includes sensitive personal information.
You remain responsible for ensuring that you have authority to provide information concerning your organisation, employees, participants or other individuals.
Salt may use the information submitted to review and respond to the enquiry in accordance with its Privacy Policy.
11. Confidential information submitted through the website
General website forms and ordinary email should not be treated as secure channels for highly confidential information.
Do not submit:

passwords;
-
financial-account credentials;
-
government identification numbers;
-
medical records;
-
detailed employee-performance records;
-
legally privileged documents; or
-
sensitive organisational information that is not required for an initial enquiry.
A formal confidentiality obligation or non-disclosure arrangement applies only where it has been expressly agreed in writing.
Salt will nevertheless handle ordinary business-enquiry information responsibly and in accordance with its Privacy Policy.
12. Photographs, recordings and testimonials
Salt will not intentionally use identifiable participant photographs, recordings, client logos, testimonials or confidential case information for public marketing without appropriate permission.
Where photography or recording forms part of an event, responsibility for participant notices and permissions will be determined in the engagement agreement.
Clients must inform Salt in advance of any internal policies or restrictions relating to:

photography;
-
videography;
-
recording;
-
social-media publication;
-
venue access;
-
participant consent; or
-
confidential business information.
13. Website accuracy and availability
Salt aims to keep website information accurate and current but does not guarantee that every page will always be complete, error-free or immediately updated.
Program descriptions, formats, availability, personnel, illustrations and examples may change as Salt develops its services.
Salt may:

update or remove website content;
-
change page structure;
-
suspend website features;
-
correct errors;
-
withdraw an offering; or
-
restrict access to part of the website
without prior notice.
Salt does not guarantee continuous or uninterrupted website availability.
14. Third-party websites and services
The website may contain links to external websites or services, including social-media platforms, WhatsApp, video platforms, maps or third-party applications.
Salt does not control and is not responsible for:

17. Limitation of liability
To the fullest extent permitted by applicable law, Salt will not be liable for indirect, incidental, special, punitive or consequential loss arising solely from access to or inability to use the website.

anticipated savings.
Liability relating to a paid Salt engagement will be governed by the accepted proposal, engagement agreement or statement of work.
Nothing in these terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability arising from fraud, fraudulent misrepresentation or wilful misconduct.
18. Indemnity
You agree to be responsible for losses, claims, costs or liabilities reasonably arising from:

your unlawful misuse of the website;

material you submit without authority;
-
infringement of third-party rights;
-
unauthorised reproduction of Salt material; or
-
a material breach of these Terms and Conditions.
This section applies only to the extent permitted by applicable law.
19. Force majeure
Salt will not be responsible for delay or failure caused by events reasonably beyond its control.
These may include:

severe weather;
-
natural disasters;
-
fire or flood;
-
epidemic or public-health restrictions;
-
transport disruption;
-
government action;
-
venue closure;
-
civil disturbance;
-
strikes;

power or internet failure;

supplier failure;

security incidents; or

illness or emergencies affecting essential personnel.
Rescheduling, substitution, cost implications and cancellation arising from such circumstances will be handled according to the relevant engagement agreement.
20. Privacy and cookies
Salt’s collection and use of personal information is governed by its Privacy Policy.
The website may use essential and optional cookies or similar technologies. Visitors may be given controls to accept or reject non-essential cookies where appropriate.
The Privacy Policy and Cookie Policy should be read together with these Terms and Conditions.
21. Changes to these terms
Salt may update these Terms and Conditions to reflect changes in:

Continued use of the website after publication of revised terms constitutes acceptance of the updated terms, subject to applicable law.

22. Governing law and jurisdiction
These Terms and Conditions are governed by the laws of India.
Subject to any dispute-resolution provision in a separate written agreement, courts having appropriate jurisdiction in Delhi, India will have jurisdiction over disputes arising from use of the website or these terms.
A separate client agreement may specify arbitration, mediation or a different dispute-resolution process for the relevant engagement.
23. Severability
If any provision of these terms is held to be unlawful, invalid or unenforceable, that provision will be limited or removed only to the extent necessary.
The remaining provisions will continue to apply.
24. No waiver
A delay or failure by Salt to enforce a provision does not mean that Salt has waived its right to enforce that provision later.
Any waiver must be expressly confirmed in writing.
25. Entire website agreement
These Terms and Conditions, together with the Privacy Policy and Cookie Policy, constitute the general terms governing use of the website.
They do not replace a specific proposal, purchase order, engagement agreement, non-disclosure agreement or statement of work agreed between Salt and a client.
